Energy Tax Deductions - Time Is Running Out

But this is just the general rules of long term health we all need to know. What is worrying is that students often forget this, especially when they live out of the home. Make sure you maintain enough nutrients intake and exercise routinely. They will keep you fit all day long to do the tasks. Take enough sleep so that you can concentrate and feel energetic until the end of the day. Avoid junk foods, alcohols, other junk drinks like soda, and greasy foods. Take enough vegetables and fruits. They will cost you cheaper too in long term.

Broncos Still Undefeated After Win Over Chargers

The Denver Broncos are for real. The NFL's most surprising undefeated team certainly answered any remaining doubters on Monday Night Football as they used a fourth quarter surge to put away the San Diego Chargers 34-23. Denver upped their record to 6-0 while San Diego dropped to 2-3. Broncos' QB Kyle Orton had another solid, mistake free game as he passed for 229 yards and two touchdowns with no interceptions. Denver's special teams also excelled, with Eddie Royal becoming only the 11th player in NFL history to return a punt and a kickoff for touchdowns in the same game.

NFL football sports betting fans that backed the Broncos as +3 road underdogs were rewarded with the outright victory and Denver continued their season opening undefeated run against the pointspread (now 6-0 ATS). The Chargers, meanwhile, have only covered one of their five games this season. The 57 points scored went OVER the posted total of 44'. San Diego has gone OVER in four of their five games this year while Denver went OVER for the first time this season, leaving their NFL totals record at 1-5 O/U.

Royal was virtually untouched on both of his kick returns, a first quarter 93 yard kickoff return and a second quarter 71 yard punt return. After the game, he gave credit to his blockers:

Take Your Business Public: Don't Do Anything Until Your Read This!

Take Your Company Public: A Must Read Before You Do Anything! As a consultant in the business of structuring companies, setting up strategic alliances for clients, writing business plans and PPM's and taking companies public on the OTCBB, I must admit I've seen my share of scams and swindling of uninformed clients. One sad issue that permeates the industry is clients who believe that their only option is to give up substantial equity while paying hefty fees to consultants who take your company public.

Here is the reality. When you are investigating the industry to find a consulting firm to work with to facilitate your 'go public' process, the first thing you need to do is make sure you are hiring a 'turn-key' solutions consulting group; meaning they need to offer everything soup to nuts in house because the second your consultant outsources anything, accountability is lost.

Next, on the issue of paying fees and also giving up equity, it should be either or, not both. If a company tells you that they want you to pay them in both upfront fees and in equity, you should laugh and walk away. In actuality the best deals for the client are those that are simply fee based, not equity based.

It's better to pay 100k in a few easy installments than to pay millions in stock that will only be liquidated after the IPO which will completely obliterate your stock price and almost certainly ruin your company's chances of success. It baffles me to see the scenarios that uninformed company owners accept. Currently there is a company that is promoting all over Google Adwords that they will take your company public for $25k and after a month of talking to the company, when you finally agree to use them they break the bad news that they are not going to charge you $25k or anything even close to that, they are, in fact, going to charge you $125k upfront, plus $10k to $20k for your initial SEC audit and on top of all of that they are going to take 30% of your company! It's shocking but this group of consultants, because of their extensive advertising, has no problem bringing in clients and turning the tables on them at the last minute and sadly, because the client is uninformed, they accept the contract and pay the fees.

If you are going to give up any amount of equity in exchange for the process of going public, it should be with a licensed broker dealer and there should be zero out of pocket expenses from you. Your broker dealer should pay for the SEC audit, S-1 filing, SEC approval, FINRA approval, Symbol achievement and ongoing investor relations to keep your stock price solid. Unless your broker dealer is doing all of this, you need to find a new, full service broker.

Keep in mind, each consulting firm you talk to will give you a million reasons as to why their fee structure and process is the best but here are some comparable facts so that you can make the right decision on how to proceed. First of all, if you get an emotional consultant that acts like he is excited about your project and 'can't wait to get started' this is bogus and you should walk away. The best consultants keep clients at arm's length and never get emotional because it clouds the process and makes them ineffective. Besides, if they are acting so excited about your company it's probably because they are trying to convince you of their legitimacy that won't stand on its own merit.

Next you want to make sure that you are getting a quote on your specific company type which includes at a minimum: corporate structuring, strategic alliance facilitation, board of directors evaluation, business plan authoring built for IPO, investor finder service, SEC audit (the should be able to give you a general idea of the cost of the audit and have a company that you can use as most consultants don't employ an auditor on staff), S-1 filing, SEC approval, FINRA approval, symbol achievement, market maker or broker dealer relationship/contract setup and investor relations for long term success.

For real estate investors, there are two things that are always in short supply regardless of the ups and downs in the economy: capital and quality inventory. Most investors that I have worked with not only need capital but strategies to go after capital that is not issued based solely on a credit score. Even if a real estate investor has good credit they still have the obstacle of too many inquires and too many open loans on their credit report and funding sources are spooked by these distractions and turn the applicant down even though all of their loans are current and they have a solid FICO.

If the above describes you or if you have limited or poor credit and you're a serious real estate investor, here is how to get all the capital you'll ever need. First put a solid strategy together. Start with your company infrastructure. Organize your company with a CEO, CFO, Board of Directors etc. After you've done this you want to set up your inter-industry strategic alliances which should be composed of other investors, bird dogs, electricians, roofers, general contractors etc. You want each of these alliances to have a purpose. They should be a portal for industry niche knowledge and consultation and also referral hubs. Let each of your alliances know exactly what type of investments you're looking for and as they are sending you referrals, reciprocate by issuing them work in whatever specialty they are in.

Next you want to have a solid business plan written for your company (don't write this yourself, have a professional do it for you) that spells out the intricacies of your company, your alliances, your accomplishments and goals. Paint a picture of success and strength.

Next you need a mechanism for accepting investment capital so you'll need a Private Placement Memorandum. This document package gives a technical breakdown of your investment opportunity and spells out the risks and advantages in detail to keep you from getting sued by investors down the road. This memorandum takes advantage of SEC Regulation D Rule Exemptions 504, 505 or 506. A PPM is the minimum requirement dictated by the SEC for accepting capital from accredited and non accredited investment sources. Real investors will demand an PPM anyway so it's good to have it done beforehand.

Now that your company is properly structured, you have a solid board of directors and alliances; your business plan is well written and to the point, you have a solid outlet for accepting capital from investors, you are now ready for capital. Your best bet is to go back to the company who wrote your business plan and private placement memorandum and use their 'investor finder' service. Legitimate corporate consultants who write technical documents will also stand behind their work by assisting their clients in finding investors. One solid strategy for getting access to capital quickly and easily is to have your Investor Finder forward go through their database and email individual and institutional funding sources.

When you are contacted by these investment sources, give them the option to invest in your company using the PPM (which will give you a fund in which you will be able to rehab real estate, buy at auctions etc). You will also want to give them the option of investing in a 'per deal' scenario. Allow them the option to also (or only) invest in particular transactions with you so when you get a deal, with a solid investor finder service, you'll eventually have 100+ solid investors to go to for quick capital on particular transactions that go above what your PPM fund can handle.

Planning A Trade Show Display

Trade shows have been around for decades. Big ones, small ones, and even ones that hardly anyone has ever heard of, plus international, national and local shows can be found in almost every city for every reason. If you are planning on attending a trade show, you need to understand that your trade show display means everything. It helps determine your success or your failure. Are you going home with new customers? Or did you waste your entire advertising budget?

A display is more than a table, banner and some literature thrown around. Your display also takes into consideration where you are on the show floor along with the actual size of your booth. Many companies have their own set ups and they arrange for storage and shipping of the display for each show during the year. If your company doesn't own any display materials there are companies you can rent from, and trade show personnel can usually point you in the right direction.

Larger companies have their own trade show managers who are experts in managing their annual trade show circuit. This entails arranging shipping and set up for each show, along with securing space at the shows for the following year. Many companies make these plans while at the current show.

It is vital to secure what is considered prime floor space. Newcomers to a particular trade show find themselves at a disadvantage because the companies who come year after year usually are given the privilege of all prime space if they secure it early enough. Most large firms stick with the 100 x 100 size - ten booths. They also aim for prime space on the floor. Most places have a limited number of what they consider to be these oversized display areas. A regional hotel might have none; a large international trade show center might have many, depending on who is registering for the show.

The Process Of Effective Giving

A new experiment is completely changing lives in the rural areas of India by bringing luminosity where there used to be darkness.

An article was published in The New York Times named, "Husk Power for India". Current, which is routinely available in the lives of most in industrialized nations, is an unimaginable luxury in out-of-the-way corners of emerging countries. What was once fodder for cattle is now used to produce current - rice husks.

Growing up in rural Bihar State, Manoj Sinha knew what it was like to sit in the dark. Being an engineer with Intel Corporation he had all the skills to make a lifelong idea come alive. He led the development of his electricity equipment that generates power from rice husks and other farming waste and now he sells it to villages across India.

Sinha is what could be called a reformative businessman because he feels business is the answer to major social problems. "Business leaders must realise that the world's poor need investments more than handouts," he says, adding, "these are customers, not victims."

The article motivated me to think about offering things in a different way that made me ask myself, "what is the most perfect form of giving?" Is it edification, commerce or disaster aid? There are so many ways to create a difference. One way of giving can seem more productive or practical than other ways depending on the way it is given expression, viewed or put into practice.

I then came to define there were eight parts to giving as a way to look at this. So, let me map out the eight distinctions; which in effect are often 'stages' of giving as well.

Stage one: Urgency - rescuing and supporting others who are struck by natural disaster, epidemic diseases or other uncontrollable circumstances.

Stage two: Reprieve - providing reprieve from long-standing malnutrition, penury, illnesses, handicaps or inequity which otherwise would prolong or get worsened because of the lack of perception, edification or resources.

Stage three: Healing and protection - mentally, physically and emotionally. Many people carry traumas that may be invisible but severely limiting their lives. Giving the healing to release the deep-rooted pain creates more opportunities for them while giving suitable protection gives them a sense of security.

Stage four: Training - giving better training, knowledge and skill instruction to create empowered and practical solutions to resource creation while encouraging people to identify their singular talent to survive.

Stage five: Creative investment - lending a hand, money or resources to those who have great potential to make a difference. This gets leveraged many times as the resources increase and passed on to many others who again make more out of the opportunities given.

Stage six: Tenability - working together with the people in the local surroundings, creating tenable groups - ambiance-wise and reciprocally.

Phase seven: Empowerment - enabling and motivating the people to release their true ability and power to make a change. In this group of sharing, the aim of giving changes from 'giving to the people who want' to 'giving people a chance to give to others' and to the society.

Stage eight: Cherishing - just doing whatever we like to do to tend and care for others. No approach or expected upshot exists in this stage of offering. 'Giving' does not even exist here in the physical sense of the word, as there is no sense of owning or decision or craving to modify things. This is where we do not even have to consider anything, we give out of a sense of our own fulfilling sensations.

What we also find is that at each of these eight stages of giving there are different things that the giver receives.

One: Sense of bonding

Two: Sense of comfort

Three: Relief from pain (our own)

Four: Gratification for our own understanding, talents and situations

Five: Long-term sense of commitment and contentment for our own life

Six: Better ambiance for our own life and for the lives of others we treasure and revere

Seven: Soul gratifying encouragement and devotion to our own purpose

Eight: Love

Sharing has many stages and sensations based upon the donor and getter. And the 'phases' do not detail which one is of more importance than the other. All are mandatory.

I was gifted with an experience early in 2008 while travelling with a group of dedicated entrepreneurs through India to see how we could be more effective in our giving. I was blessed to have one particular experience that made me think about what 'effective giving' really meant.

We were in a little town one day. Four of us had just booked a taxi to take us to another town nearby. We negotiated with the driver carefully as our hotel staff had warned us in advance about the rip-off we might experience seeing we were not local.

We stopped in front of the local train station for a short break on the way. While the others disappeared off to use the bathroom, I started a conversation with our taxi driver standing next to the taxi. With very limited English and a full smile exposing his blackened front teeth, he told me that he had a house on the outskirts of the town and he had a young wife and two children who went to the local school - I started to feel connected to him.

I appreciated the fact of his having such a wonderful family and told him that I too had two little ones of almost the same ages as his. When the others were back the driver suddenly invited us to come to his house and have lunch. I took it only as a formality that was customary courtesy. But after taking us to the town center and leaving us there, he told us that he would wait for us until all our wandering in the town was over. And he really did. I was actually quite astonished to see him still remaining glued to the side of the road next to his taxi more than one hour later. We got into the taxi and he drove fast up the road to where he had his family.

When we landed there we were quite surprised to see the way he was living. It was in fact quite similar (if not worse) to the existence of the slum dwellers we had visited before that. From the bright new taxi he was driving, who could have pictured this

As the car turned into the narrow unsealed road between the hut-like houses that were constructed with crudely made concrete blocks and painted mud walls, we felt contrite about having agreed to his invitation. For a brief moment I felt mortified. "How could I have exploited the generosity of a man who didn't seem to have anything and I didn't even get any edible stuff or presents for his family", I thought.

As we went inside his house, we saw a vessel and a small stove on the floor. His timid young wife raised her head in surprise and withdrew into the small store room (a cupboard size) adjacent to it. As I took in the scene, I saw the neighbours residing next door giving her a few cups across the broken down concrete fence. The young couple did not even have sufficient teacups in their house. There was a single room fitted with one single bed and a pretty old galvanised box near it.

The cab driver swiftly took out three hand-woven rugs from the galvanised box and placed it neatly on the small space of the mud floor keeping one on the bed.

Hot cups of tea came pretty fast and so did some snacks. His kids as well as all the little ones in the neighbourhood came to see us and stood around near the door. All six of us were totally wedged into the small room. I asked him with surprise where all his children slept. I thought they might be having another space somewhere. To my utter surprise, he pointed the chest and happily said that it was their sleeping space.

He cheerfully informed us that he was a dancing expert of the area and pointed at the medals displayed on the recess above his bed. Bent on showing us his dancing skills he at once ran outside. From some place music started coming into the tiny room. He has no arrangement for music in the house, it was flowing in from outside. I wondered where it came from till I saw him bringing his taxi in reverse to the back wall of his house with the doors open and music flowing in from the high volume car radio!

The time quickly passed (dancing together and having more cups of tea) and it was finally time to say thank you for their great hospitality and head on our way. As we stood up to leave and thank him and his wife, he reached to the best looking rug on the bed, rolled it up and handed it to us. It was one of the only few things he had. I could not believe he offered it to us.

We all politely declined his gift and walked out saying goodbye to all the people waving at us. We got confused about this whole thing. Should we have given some money to the family as their life obviously looked very limited? Should we have accepted his prized gift?

As I was thinking about this life-changing experience a few days later, I thought about the refusal of his gift. He looked disappointed that we didn't take the gift. It wasn't just about saying no to the gift that stuck in my mind.

I understood that the sense of unease I felt was really ensuing from viewing him as unfortunate. I was perhaps thinking that I couldn't possibly accept something from a person who had very little.

But did he really have so little? Maybe he had more - a lot more.

Maybe the greatest gift we could have given him then was to receive his gift in total respect and gratitude.

All acts of giving and receiving are necessary for us to fill our world with abundance and fulfillment equally for both giver and receiver. We can start doing this instead of judging and justifying one over another. The pure act of giving and receiving requires no further explanation.

Manoj Sinha's words continue to reverberate in my mind, "these are customers, not victims." I can picture the happy faces of the rural folk who are now pleased to have power in their hamlets and the kids who now can read books and happily do their homework at night.
